Terms of Service

These Terms of Service ("Terms") govern your access to and use of the MarketMonster.co website, application, and APIs (collectively, the "Service") operated by MarketMonster.co ("MarketMonster", "we", "us"). By creating an account, accepting an invitation to an organization, or otherwise using the Service, you agree to be bound by these Terms.
1. The Service
MarketMonster provides tooling for Amazon Selling Partners to manage inbound FBA shipments, inventory, listings, and related logistics workflows. The Service interacts with Amazon's Selling Partner API (SP-API) under authorization granted by you. MarketMonster is an independent third-party service and is not affiliated with, endorsed by, or sponsored by Amazon.com, Inc.
2. Accounts and organizations
You must provide accurate registration information and keep it current. You are responsible for activity that occurs under your account. Organization administrators are responsible for the actions of the members they invite and for the roles and permissions assigned to those members within the organization.
3. Credits, subscriptions, and billing
3.1 How credits work
Most workflows in the Service consume credits at the rates published on the pricing page. Credits are non-transferable and have no cash value. Credits purchased on a pay-as-you-go basis do not expire. Credits included in a subscription tier reset on each billing cycle and do not roll over unless explicitly stated.
3.2 Subscriptions
Paid subscriptions auto-renew at the end of each billing period unless cancelled before the renewal date. You may cancel at any time from the Stripe Customer Portal linked inside the application; cancellation takes effect at the end of the current billing period.
3.3 Refunds
Subscription fees are non-refundable except where required by law. Credits purchased but not consumed are refundable for 14 days from the date of purchase if you have not used the Service in that period. Email support@marketmonster.co to request a refund.
3.4 Taxes
Prices are exclusive of taxes unless stated otherwise. You are responsible for any applicable sales, use, value-added, or similar taxes.
4. Acceptable use
You agree not to:
- Use the Service to violate any applicable law, the Amazon Selling Partner API Terms of Use, the Amazon Acceptable Use Policy, or any other Amazon policy applicable to your seller account;
- Access, scrape, or aggregate Amazon data outside the scope of your authorized SP-API roles or in a manner that violates Amazon's data sharing requirements;
- Misrepresent your relationship with Amazon, or imply that MarketMonster is an Amazon-operated service;
- Reverse-engineer, decompile, or attempt to derive the source code of the Service except where this is expressly permitted by applicable law;
- Attempt to gain unauthorized access to the Service, other users' accounts, or the underlying infrastructure;
- Use the Service to send unsolicited communications, deliver malware, or interfere with the operation of the Service for other users.
5. Your content and data
You retain ownership of all data you submit to the Service or that we retrieve from Amazon on your authorized behalf ("Your Data"). You grant MarketMonster a limited license to process Your Data solely as needed to operate the Service for you. We handle Your Data in accordance with our Privacy Policy.
6. Suspension and termination
We may suspend or terminate your access to the Service if we reasonably believe you have violated these Terms, or if continued provision of the Service to you would expose MarketMonster, Amazon, or other users to material risk. We will give notice where practical and reasonable.
You may close your account at any time. On account closure, we delete or anonymize Your Data on the schedule described in the Privacy Policy.
7. Warranty disclaimer
The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. MarketMonster does not warrant that the Service will be uninterrupted, error-free, or that the data retrieved from Amazon will be complete or correct at any given moment, given that SP-API itself has rate limits, eventual consistency, and outages outside of our control.
8. Limitation of liability
To the maximum extent permitted by law, MarketMonster shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, or lost data. MarketMonster's aggregate liability arising out of or relating to the Service shall not exceed the greater of (a) the amount you paid to MarketMonster in the 12 months preceding the event giving rise to the claim, or (b) US $100.
9. Indemnification
You agree to indemnify and hold harmless MarketMonster and its affiliates from any third-party claims arising out of your use of the Service in violation of these Terms or applicable law.
10. Changes to the Service or these Terms
We may modify the Service or these Terms from time to time. Material changes to these Terms will be communicated by email to active organization administrators at least 14 days before the change takes effect. Continued use of the Service after the effective date constitutes acceptance.
11. Governing law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms shall be resolved exclusively in the state or federal courts located in Delaware.
